Terms of Service
Standard trading conditions for OEM/ODM manufacturing services. Please read these terms carefully before initiating production orders.

Agreement Scope
These Terms of Service ("Terms") govern the sale of goods and provision of manufacturing services by Prana Life ("Manufacturer", "We", "Us") to the purchaser ("Buyer", "Client").
By placing an order with Prana Life, the Buyer acknowledges that they are purchasing for commercial purposes (B2B) and agrees to be bound by these Terms. These terms apply to all OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) projects unless otherwise agreed in a distinct written contract.
Orders & Minimum Quantity
- Minimum Order Quantity (MOQ): Our standard MOQ is 50 pieces per model. We support mixed-model loading for full containers to help optimize your inventory.
- Order Confirmation: Orders are only considered binding once a Proforma Invoice (PI) has been issued by Prana Life and the requisite deposit has been received.
- Volume Capacity: With a monthly capacity of 100,000 units, we reserve the right to schedule production slots based on order confirmation dates.
OEM/ODM Customization
We specialize in customized solutions. Prana Life provides full tailoring of designs, fabrics, materials, and packaging.
Approval Process
For all custom orders (OEM/ODM), a pre-production sample or digital specification sheet must be approved by the Buyer in writing before mass production begins. Any changes requested after production has commenced may incur additional costs and delays.
Payment Terms
Unless otherwise agreed in writing, our standard payment terms are:
* All payments must be made via T/T (Bank Transfer) or L/C (Letter of Credit) for orders exceeding $50,000 USD.
Production & Lead Time
Standard manufacturing lead time is 20-35 days after receipt of deposit and confirmation of all details (fabric, color, packaging).
Lead times are estimates and may vary depending on order volume, seasonality, and raw material availability. Prana Life will not be liable for delays caused by Force Majeure events.
Quality & Compliance
We are committed to manufacturing excellence. Our products are designed to meet international standards.
Clients requiring specific testing reports for their jurisdiction must inform us prior to quotation, as additional testing fees may apply. We provide a standard warranty of 2 years on mechanical parts unless otherwise specified.
Shipping & Logistics
Incoterms: Standard quotes are provided as FOB (Free on Board) for full container loads. EXW (Ex Works) applies to orders smaller than a full container unless otherwise negotiated.
The Buyer is responsible for all import duties, taxes, and customs clearance in the destination country. We provide all necessary export documentation (Commercial Invoice, Packing List, Bill of Lading).
